Terms of Service

1Acceptance of Terms

These Terms of Service ('Terms') govern your access to and use of the CallNex platform, operated by CallNex BV, [Address Placeholder], Brussels, Belgium ('CallNex', 'we', 'us'). By creating an account or using the platform, you agree to be bound by these Terms and our Privacy Policy.

If you are using CallNex on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

2Platform Description

CallNex is a cloud-based AI voice calling platform that enables businesses to deploy automated outbound and inbound voice agents for sales, customer support, appointment scheduling, and lead qualification. The platform provides call recording, AI-generated transcripts, analytics, and campaign management tools.

3Eligibility and Account Registration

To use CallNex, you must:

  • Be at least 18 years old and legally capable of entering into a binding contract
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials and not share login access
  • Promptly update your account information if it changes
  • Notify us immediately at support@callnex.nl if you suspect unauthorised access to your account

We reserve the right to suspend or terminate accounts that provide false or misleading information.

4Permitted Use and Compliance

You may use CallNex solely for lawful business purposes in accordance with these Terms and all applicable laws, including:

  • Belgian telecommunications law and the Act of 13 June 2005 on Electronic Communications
  • EU General Data Protection Regulation (GDPR) and Belgian implementing legislation
  • Anti-spam laws including the Belgian Act on certain aspects of information society services
  • Consumer protection legislation where applicable

You are solely responsible for ensuring that your use of CallNex — including any automated calls you initiate — complies with all applicable laws, regulations, and any required consents from call recipients.

5Prohibited Activities

You must not use CallNex to:

  • Make calls to persons who have not given consent where consent is legally required
  • Send spam, unsolicited commercial calls, or engage in harassment
  • Impersonate any person, company, or authority in a deceptive manner
  • Collect personal data in violation of applicable privacy laws
  • Transmit malware, viruses, or any code intended to disrupt or damage systems
  • Circumvent, disable, or interfere with security or access controls of the platform
  • Use the platform to facilitate fraud, money laundering, or any illegal activity
  • Resell, sublicense, or provide platform access to third parties without our prior written consent
  • Reverse engineer, decompile, or attempt to extract source code from the platform

6Subscription, Pricing and Payment

CallNex operates on a subscription-plus-usage model:

  • Monthly subscription fee as set out in the current pricing page (callnex.nl/pricing)
  • Per-minute usage charges for AI voice calls, billed at the end of each billing cycle
  • All prices are exclusive of VAT; applicable Belgian VAT will be added at checkout

Payments are processed by Stripe Payments Europe Ltd. By providing payment details, you authorise us to charge the applicable fees to your payment method. Subscriptions renew automatically each month unless cancelled before the renewal date.

We may adjust pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

7Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain full access until then. We do not provide pro-rata refunds for partial months.

If you believe you have been charged in error, contact support@callnex.nl within 14 days of the charge. We will investigate and, if applicable, issue a credit or refund at our discretion.

8Intellectual Property

CallNex and all related technology, software, designs, trade marks, and content are the exclusive intellectual property of CallNex BV and its licensors. These Terms do not grant you any ownership rights.

You retain ownership of all data you upload to or generate through the platform (call recordings, contact lists, campaign content). You grant CallNex a limited licence to process this data solely to provide the service.

9Service Availability and SLA

We target 99.5% monthly uptime for core platform functionality. Scheduled maintenance will be announced at least 48 hours in advance. We are not liable for downtime caused by third-party services (telecommunications providers, cloud infrastructure), force majeure events, or your own network issues.

During outages, we will communicate status updates via our status page and, for extended outages, by email.

10Limitation of Liability

To the maximum extent permitted by Belgian and EU law, CallNex's total aggregate liability to you for any claim arising from these Terms or your use of the platform shall not exceed the fees you paid in the 3 months preceding the claim.

We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11Termination

We may suspend or terminate your account immediately if you breach these Terms, fail to pay amounts due, or if we are required to do so by law. We will give reasonable notice where practicable.

Upon termination, your right to access the platform ceases immediately. We will delete or anonymise your data in accordance with our Privacy Policy and data retention schedule.

12Governing Law and Disputes

These Terms are governed by Belgian law. Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium.

If you are a consumer, you also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' written notice by email. Continued use of the platform after the effective date constitutes your acceptance of the revised Terms.
